Non-Disclosure Agreement (NDA)

All information provided by the user in any form (oral, written, digital, or otherwise), including but not limited to:

• Ideas, concepts, designs, and business models
• Technical documents, data, files, and samples
• Development plans, strategies, and market information
• Financial, operational, and commercial information

shall be considered confidential information.

The service provider commits to:

• Not disclosing confidential information to any third party without prior user consent
• Using information solely for review, design, development, and delivery of related product or MVP services
• Avoiding any unauthorized use outside the scope of cooperation

Received information is protected according to customary security and professional standards, and:

• Access is limited to individuals involved in the project
• All team members are bound by confidentiality obligations

Confidentiality obligations do not apply to:

• Information that is publicly available
• Information lawfully obtained from other sources without breach of this agreement
• Information already independently held by the service provider before receipt

All rights to submitted information, ideas, and concepts remain with the user. This agreement does not transfer intellectual property ownership in any way.

Confidentiality obligations begin upon submission and remain valid for 5 years after the last interaction. This obligation persists even if cooperation does not proceed.

Submission constitutes a request for review, analysis, or development only and does not create any obligation to begin cooperation or provide services.

Despite security standards, the service provider is not liable for damages arising from circumstances beyond reasonable control (such as large-scale cyber attacks, infrastructure failures, and similar events).

This agreement is governed by the laws of the Islamic Republic of Iran, and disputes shall be resolved through competent authorities.

• This agreement is considered legally enforceable
• The user confirms they have the authority and capacity to accept these terms
